**Disney did not buy Character.AI. It is taking a non-exclusive license to the code and patents plus the key people, while the app and user data sit outside Disney's license.**

Character Technologies, which runs the AI character chatbot Character.AI, filed a voluntary **Chapter 11** petition in a Delaware bankruptcy court on Oct. 12, 2026. Chapter 11 is a U.S. bankruptcy process that lets a company keep operating while it reorganizes or sells assets. The company aims to close the sale in late November or early December.

## How a $1 billion startup got here

Character.AI was valued at $1 billion in 2023, which made it a leading consumer AI startup. In 2024, Alphabet paid Character.AI $2.7 billion in cash for a non-exclusive license to its language-model technology and hired some of its employees, according to Alphabet's filing.

Users were plentiful, with about 12 million monthly active users, but the money was not. According to a declaration CEO Colin Adams filed with the court (as summarized by PPC Land), August 2026 revenue was about $5.3 million while the operating loss ran about $8 million to $9 million a month. Lawsuits and state attorney general investigations over minors' safety also blocked fundraising and a sale, the declaration says. This article does not weigh the outcomes of those cases.

## Disney's bid is $20 million

Disney is the **stalking horse**, an initial bidder whose offer sets the floor in a bankruptcy asset auction. Its $20 million bid is one-fiftieth of the 2023 valuation, and a higher bid can displace it.

The two numbers do not compare directly, though. Disney is not buying the company. It wants a **non-exclusive, perpetual** license, meaning the owner can license the same assets to others and the license has no end date, covering the code repositories and nine patents. The consumer app, trademarks, user data, chat logs and finished models are excluded, according to PPC Land's summary of the court filings.

The people are worth more than the license. Reports say 66 of 86 employees moved to Disney and 18 remain. Those figures differ by two (86 minus 66 is 20), and they come from a single source, PPC Land, so we could not confirm the exact headcount. Karandeep Anand, the former CEO, also joined Disney as CTO.

Pay and retention bonuses for these people are estimated at about $180 million over one to three years, according to the term sheet. **That money goes to the employees directly. It is not sale proceeds for the bankruptcy estate, the pool of assets creditors are paid from.** The structure is closer to an **acquihire**: hiring a startup's team instead of buying the whole company.

The company plans to keep the service running during the sale but says it may shut it down if no buyer commits to keep it going. The app and user data sit outside Disney's license, so whether someone takes over the app decides the service's fate.

## What to check now

What follows is **our estimate and advice** based on the confirmed facts.

- **If you built on Character.AI's API, bots or content, plan your exit first.** Settle how you will export your data and delete accounts, and when you will move to another model.

## What to watch

Watch whether a bid tops Disney's, whether the sale closes in late November or early December, and whether a buyer emerges to keep the app running. Case updates are posted on the [Stretto case page](https://cases.stretto.com/chartech). We could not open the original court filings, so the figures are cross-checked against PPC Land's summary and major outlets.
